Pluvus Merchant Terms of Service
Welcome to Pluvus. These Terms of Service ("Terms") govern your use of the Pluvus platform as a merchant. By creating an account or using Pluvus, you agree to these Terms.
1. What Pluvus Does (and Doesn't)
Pluvus's only role is to bridge the connection between merchants and creators (affiliates). We provide tools to help merchants track affiliate referrals, surface commission data, and coordinate payout records. That is the entire scope of our service.
Pluvus:
- Is not a payment processor
- Does not hold, move, transmit, or escrow money
- Is not a party to any agreement, contract, or relationship between you and your affiliates
- Does not draft, review, negotiate, enforce, or otherwise handle any legal matters between you and your affiliates
- Is not your lawyer, accountant, tax advisor, broker, agent, employer, or fiduciary
All affiliate relationships, contracts, commissions, payments, taxes, disputes, and legal obligations are strictly between you and your affiliates directly. Pluvus is a tracking and coordination tool — nothing more.
2. Your Account
You are responsible for:
- Keeping your account secure
- All activity that happens under your account
- Making sure anyone using Pluvus on your behalf is authorized
You must provide accurate, up-to-date information when signing up.
3. Subscriptions, Billing & Fees
- Pluvus is a subscription service.
- Fees, billing cycles, and plan features are shown at signup or in your dashboard.
- Subscriptions renew automatically unless canceled.
- Failure to pay may result in account suspension or downgrade.
Fees are non-refundable unless otherwise stated.
4. Your Affiliate Program
You are solely responsible for:
- Setting commission rates and rules
- Approving or removing affiliates
- Communicating program terms to affiliates
- Ensuring affiliate promotions comply with applicable laws
Pluvus does not vet or manage affiliate behavior on your behalf.
5. Tracking & Attribution
Pluvus tracks activity based on the configuration you choose (e.g. referral links, cookies, attribution windows).
You acknowledge that:
- Tracking is best-effort, not perfect
- Results may be affected by ad blockers, privacy settings, browser restrictions, refunds, or third-party platforms
- Pluvus reports are informational and may update over time
Pluvus is not responsible for missed or disputed attributions.
6. Payouts & Payment Schedule Responsibility
Pluvus does not send, schedule, initiate, or guarantee any payment to affiliates. You are solely responsible for paying your affiliates on the schedule you commit to (whether that schedule is monthly, per-cycle, on-demand, or any other cadence you've agreed to).
Specifically:
- You are responsible for sending payments manually (e.g. PayPal) on time
- You are responsible for tracking what you owe, when it's due, and confirming delivery to each affiliate
- Commissions enter a clearing period (either 14 or 30 days depending on your program) before becoming available for payout, allowing time for refunds or chargebacks
- Any "payout status" shown in Pluvus reflects your own actions or confirmations — it is not evidence that money was actually sent or received
- Uploaded receipts or confirmations are stored for record-keeping only and are not verified by Pluvus
Pluvus is not liable for failed, late, missed, partial, or disputed payments. Late or missed payments are a matter strictly between you and the affected affiliate.
7. Taxes
Pluvus does not handle taxes of any kind. We are a tracking tool — not a tax service, payment processor, or accountant.
Pluvus does not:
- Calculate, withhold, collect, or remit any sales tax, VAT, GST, income tax, or any other tax
- Issue, file, or store tax forms (e.g. 1099-NEC, 1099-K, W-9, W-8BEN, VAT invoices)
- Track taxable thresholds, nexus, or reporting obligations on your behalf
- Provide tax advice of any kind
You are solely responsible for all tax obligations arising from your business, your sales, your commissions paid to affiliates, and your use of Pluvus — including determining what taxes apply, collecting any applicable forms from your affiliates, and filing with the appropriate authorities. Consult a qualified tax professional if you are unsure.
8. Disputes With Affiliates
Pluvus may provide tools to help track or document disputes, but:
- You are responsible for resolving disputes directly with affiliates
- Pluvus does not act as an arbitrator or judge
- We may suspend access or flag activity if fraud or abuse is suspected
9. Acceptable Use
You agree not to:
- Use Pluvus for illegal, deceptive, or abusive activities
- Attempt to bypass tracking or reverse-engineer the platform
- Use Pluvus to send spam or misleading communications
- Infringe on intellectual property rights
We reserve the right to suspend accounts that violate these rules.
10. Data & Privacy
You own your business data.
By using Pluvus, you grant us permission to process data solely to provide and improve the service. Aggregated or anonymized data may be used for analytics.
11. Termination & Subscription Cancellation
You may cancel your account at any time.
We may suspend or terminate accounts for:
- Non-payment
- Fraud or abuse
- Violations of these Terms
If you cancel your Pluvus subscription, the following applies:
- Your referral links and tracking remain active and continue to capture data (clicks, conversions, and sales) even after cancellation
- You will lose access to the Pluvus dashboard, analytics, and campaign metrics for the duration of the cancellation
- Your affiliated creators will receive an email notification that the campaign has been paused and will be advised to contact you directly with any questions
- Any outstanding payout obligations to creators remain your responsibility regardless of your subscription status
- Your campaign data is retained indefinitely — if you resubscribe, your campaign resumes automatically with no data loss
- Creator relationships established through the platform may continue independently outside of Pluvus
Pluvus reserves the right to terminate accounts that violate these terms without prior notice. In such cases, data retention and access are at Pluvus's sole discretion.
12. Disclaimers
Pluvus is provided "as is." We do not guarantee uninterrupted service, perfect tracking, or error-free reports.
13. Limitation of Liability
To the maximum extent allowed by law:
- Pluvus is not liable for indirect or consequential damages
- Our total liability is limited to the fees you paid us in the past 12 months
14. Indemnification
You agree to indemnify Pluvus from claims arising from:
- Your affiliate program
- Your products or services
- Your affiliates' actions
- Any tax matter, payment, or legal obligation between you and your affiliates
15. Governing Law
These Terms are governed by the laws of the United States.
16. Changes
We may update these Terms from time to time. Continued use of Pluvus means you accept the updated Terms.
